Fractional CFO

I work with junior miners on the TSX Venture Exchange and the Canadian Securities Exchange, and with Capital Pool Companies. The financial statements are prepared under IFRS. I am a sole practitioner. The scope is written down before the work starts.

I do the month-end close. A bookkeeper can keep the day-to-day ledger. I will say so if the books are not ready for a public filing.

I prepare the cash position and a 13-week cash forecast.

I prepare the pack for the board and the report for the audit committee.

I prepare the file for the company’s auditor. That preparation is not an audit, and it is not a review. I do not offer an audit service.

I support the continuous-disclosure work that sits with finance: the financial statements under IFRS, the MD&A, and the filing calendar. I do not write technical mining disclosure. I do not practise law.

I am a Chartered Professional Accountant, and I am licensed for public practice. Where I am the chief financial officer, I am not the assurance provider for that company. I do not audit it, and I do not review it. The auditor is another firm. I can introduce a lawyer and an auditor.

I do not quote a CFO retainer to a Capital Pool Company before its qualifying transaction. TSX Venture Exchange Policy 2.4 is the reason. Work before that transaction, if I take it, is described in the engagement letter, and it is not a CFO retainer.

I start with a written scope. It says whether the board will appoint me as chief financial officer, or whether I am advising a chief financial officer the company employs. It says the work is not an audit and not a review. It says I will have access to the books, the board, and the auditor. The fee is in that letter. This page does not state a fee.
